OFFICIAL RULES
THESE OFFICIAL RULES APPLY ONLY TO THE UNITED STATES NBA 2K10 ALL-STAR CHALLENGE. TO PARTICIPATE, YOU MUST (A) MEET THE ELIGIBILITY REQUIREMENTS BELOW, (B) HAVE AN XBOX LIVE GOLD ACCOUNT AND (C) OWN OR HAVE ACCESS TO AN XBOX 360, A COPY OF NBA 2K10, AND A BROADBAND INTERNET CONNECTION. ENTRANTS MUST BE 18 OR OLDER AS OF THE DATE OF REGISTRATION AND BE LEGAL RESIDENTS OF THE UNITED STATES (EXCLUDING RESIDENTS OF ARIZONA, COLORADO, CONNECTICUT, MARYLAND, NORTH DAKOTA AND VERMONT). THERE IS NO REGISTRATION FEE TO PARTICIPATE IN THIS TOURNAMENT.
1. Entry.
To register for the NBA 2K10 All-Star Challenge ("Tournament") and compete for a chance to play in the Finals (as defined in Section 6) in Dallas, Texas, scheduled to take place on Saturday, February 13, 2010, follow the directions provided to register online at www.2ksports.com/allstarchallenge.
2. Tournament Registration.
Registration opens at 12:01 a.m. Eastern Time ("ET") on December 23, 2009 and ends at 11:59 pm ET on January 16, 2010.
Registrations generated by script, macro or other automated means and registrations by any means which subvert the registration process will be void. Limit one (1) registration per person and per email address. Registrations from any person or email address in excess of the stated limitation will be void.
Registrations become the property of 2K Sports, Inc. ("Sponsor") and will not be returned. Employees, officers, directors, agents and shareholders of Sponsor, Take Two Interactive Software, Inc., Nike Basketball, the National Basketball Association and its member teams and NBA Properties, Inc. (the "NBA Entities") and Visual Concepts Entertainment, and each of their respective affiliates, subsidiaries, parents, representatives, and advertising, promotion and publicity agencies (collectively, the "Released Parties") assume no responsibility for lost, late, incomplete, garbled, altered, defaced, mutilated, incorrect, misdirected, or ineligible registrations or game plays and all such registrations and/or game plays will be void. Use of a false email account or multiple email accounts by a participant with the intent to subvert the registration process will disqualify such participant and void all associated registrations and game plays. Released Parties are not responsible for technical, hardware or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic or other communications. Sponsor, in its sole discretion, reserves the right to disqualify any person who tampers with the entry process or the operation of the Website, or who otherwise violates these Official Rules or acts in an unsportsmanlike or disruptive manner and void all associated registrations. By participating, participants accept and agree to abide by the terms of these Official Rules, the Website's Terms and Conditions (available at http://www.take2games.com/legal.php and incorporated herein by reference), and all game play instructions published on the Website and at the Finals in Dallas, Texas.
3. Tournament Qualification
After registering for the Tournament, participants must qualify and check in (see paragraph 4 below) to participate in the Online Playoffs. The two (2) Finalists from the Online Playoffs will be invited to the Finals in Dallas, Texas, scheduled to take place on Saturday, February 13, 2010.
The qualification period begins on December 23, 2009, at 12:01 am ET and ends on January 16, 2010, at 11:59 pm ET ("Qualification Period"). During the Qualification Period, all ranked games played online will count towards an entrant's qualification ranking. The leaderboard will track player rankings, which will be displayed on the Website http://nba2k10allstar.2ksports.com/leaderboard.html and updated daily. Rankings are calculated using an ELO rating system, which is a mathematical equation used to rank players based on the results of matches they have played. The sixty (60) Tournament participants with the highest ELO rating, as determined by Sponsor, who have checked in (see Section 4 below) with at least fifteen (15) completed games during the Qualification Period will advance to the Online Playoffs. Participants qualifying for the Online Playoffs will be notified via email address registered with 2K Sports in their 2K Community profile.
Sponsor, in its sole discretion, reserves the right to increase or decrease the number of Online Playoff qualifiers.
4. Tournament Check-In
The check-in period begins on January 17, 2010, at 12:01 am ET and ends at 11:59 pm ET on January 17, 2010, ("Check-In Period"). All participants who qualified for the Online Playoffs who wish to have an opportunity to compete in the Online Playoffs MUST check in. To check -in, go to the Website and click on the "Check-In" button located on the homepage. If you are not logged in, you will be prompted to log in with your gamer tag and password. Please confirm your check-in status on your player profile page to ensure you have been checked-in properly. Any problems checking-in should be reported using the contact form available on the Website. Any eligible participants who do NOT check-in by 11:59 pm ET on January 17, 2010, will not be eligible to advance to the Online Playoffs.
5. Online Playoffs: Schedule and Format
At the conclusion of the Check-In Period, the top sixty (60) registrants who have checked-in on the Leaderboard will advance to the Online Playoffs. These qualifiers will be placed and scheduled into two (2), thirty (30) person single elimination online tournament brackets. The top two seeds in each of the two (2) tournament brackets (designated as those eligible qualifiers with the highest Leaderboard ranking) will receive a bye in round 1. Each thirty (30) person tournament bracket will consist of five (5) rounds of matches. The winners from each match advance to the next round. The loser of each match is eliminated from the Tournament. The ultimate winner of each thirty (30) person tournament bracket will advance to and be awarded a trip to compete in the Finals in Dallas, Texas, as set forth herein. The ultimate winner in each tournament bracket, as determined by Sponsor in its sole discretion, will be deemed a "Finalist" and will advance to the Finals, subject to verification of eligibility and compliance with these Official Rules.
All schedules are subject to change. It is each participant's sole responsibility to frequently check the Website to be informed of any updates or changes to the tournament schedule.
Online Playoff Schedule:

6. Finals
The two (2) bracket winners from the Online Playoffs, as determined by Sponsor in its sole discretion, will have the opportunity to compete at a live event in Dallas, Texas, at the 2010 NBA All-Star game, scheduled to take place on February 13, 2010 (the "Finals").
Format: The Finals format will be a single elimination championship match between the two (2) Finalists.
Schedule: The Finals will be hosted at the 2K Sports booth at NBA Jam Session at the Dallas Convention Center in Dallas, Texas, on Saturday, February 13, 2010. The address of the Dallas Convention Center is: 650 S. Griffin St., Dallas, TX 75202 The Finals will begin promptly at a time to be determined by Sponsor.
Rules: The Finals rules will be distributed to the Finalists on site. The Finalist who wins the elimination match, as determined by Sponsor, will be deemed the "Grand Prize winner", subject to verification of eligibility and compliance with these Official Rules.
7. Tournament Play
By participating, Tournament participants agree to abide by and strictly adhere to all game play guidelines and these Official Rules and the decisions of the Sponsor. Controllers will be given to each Finalist but Finalists may bring their own.
Tournament Game Settings: There are no in-game setting restrictions during the Qualifying Period. As long as the match is "ranked" and both participants agree to play, the match is considered fair play.
During the Online Playoffs, the game settings will be as follows:
Skill Level: Super Star
Period length: 5 minutes
Rules: NBA Rules (as defined by the NBA and incorporated herein by reference)
Injuries: Off
Trading: Off
Fatigue: On
Clutch Factor: On
Participants must conduct themselves in a sportsmanlike manner, maintaining a friendly and polite demeanor to competitors and to other participants of the Tournament. Participants who engage in unsportsmanlike, disruptive, annoying, harassing or threatening conduct or violate these Official Rules or game play guidelines, gain an unfair advantage by any means in participating in the Tournament, or obtain winner status using fraudulent or otherwise improper means, in Sponsor's sole discretion, will be disqualified and all associated registrations and game plays will be void. Sponsor will interpret these Official Rules and resolve any disputes, conflicting claims or ambiguities concerning these Official Rules or the Tournament and the Sponsor's decisions concerning such disputes shall be final and binding. Sponsor may prohibit a participant from participating in the Tournament or winning a prize if, in its sole discretion, Sponsor determines that said participant is attempting to undermine the legitimate operation of the Tournament by cheating, hacking, deception, or other unfair playing practices (including the use of script, macro or other automated quick entry programs or any means which subvert the game play process) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor's representatives and all associated game plays will be void.
"Cheating" includes a wide range of behaviors that could influence the match, including some of the examples that follow.
LAGGING THE GAME: If an opponent starts purposely lagging the game, such behavior shall be considered cheating. Manipulating your router, opening programs on a computer, etc. will not be tolerated. PAUSING THE GAME: Pausing when the other player is about to shoot shall comprise cheating. You can pause at anytime during the game (although it is preferred you pause when you have offensive possession). However, it will be considered cheating if you pause when the other player is attempting to shoot. ENDING THE GAME: The Sponsor understands that entrants have network problems. Therefore, in the online playoff, if a participant disconnects from a game within the first period of play, either intentionally or unintentionally, the game may be reset by the designated match administrator. However, if an administrator believes a disconnection was intentionally triggered by a participant, the administrator may disqualify that participant from the Tournament and void all associated game plays.
REPORTING PROBLEMS. Tournament administrators shall be contactable via the contact form, available on the Website. All complaints will be filed and saved. Tournament administrators reserve the final right to every decision including, without limitation, the decision to disqualify any participant due to complaints. Participants must strictly adhere to all game play guidelines or risk the possibility of disqualification.
Participants are required to file all questions, comments, disputes, no-show claims, schedule conflicts, or other Tournament related issues through the Website contact form with the appropriate subject. Be sure to explain your situation thoroughly and include any details necessary to assist the Tournament administrator in making a decision.
Administrators, in their sole discretion, reserve the right to change the score of a Tournament match. This decision could be made based on administrator's judgment that the game reported the result incorrectly or the participants tampered with the game software or hardware to manipulate the reported score.
CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE TOURNAMENT MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
Participants are recommended to be online in their connected console platform and ready to play their opponent fifteen (15) minutes prior to the published match time. If a participant is not in the tournament lobby fifteen (15) minutes after the published Online Playoff match time, as determined by Sponsor in its sole discretion, such entrant forfeits the match. To report a no-show, use the contact form on the Website. An administrator will confirm that a participant's opponent is not available for play before awarding such reporting participant the win. A false no-show claim will result in immediately disqualification of the reporting participant from the Tournament.
It is each player's responsibility to know and understand these Official Rules and the game play guidelines as they exist the day of each match.
Match Times: All NBA 2K10 All-Star Challenge Online Playoff match times will be posted in ET. Participants are responsible to know how to translate ET into their local time. Below is a guideline.

Hardware Requirements:
Any manipulation of the Xbox 360 game platform will result in disqualification and all associated registrations and game plays will be void. The game platform must be as designed and constructed by its manufacturer.
Tournament participants are free to use any customized controllers; however, turbo controllers are prohibited.
Awards Availability:
Participants must be available for post-Tournament awards ceremonies and interviews.
Revisions:
These Official Rules and game play guidelines are subject to change, and changes may be posted without notice. It is each participant's sole responsibility to frequently check the Website to be informed of any updates or changes to these Official Rules.
Drugs and Alcohol:
Use of alcohol or drugs is prohibited on the premises of, or during the attendance of, the Finals and entrants must not be under the influence of drugs or alcohol at any time while participating in the Tournament.
Software Cheats and Exploits:
Participants will be disqualified for use of any NBA 2K10 cheats or game exploits. Sponsor, in its sole discretion, reserve the right to disqualify any entrant for any reason.
8. Eligibility
The Tournament is only open to residents of the United States - (excluding residents of Arizona, Colorado, Connecticut, Maryland, North Dakota, and Vermont) who are 18 years of age or older on or before December 23, 2009, and who own or have access to an Xbox 360, a copy of NBA 2K10, and broadband internet access prior to Tournament registration. Participants must be able to travel between Friday, February 12, 2010, and Sunday, February 14, 2010, if they are selected as the Finalists. THIS TOURNAMENT IS VOID IN ARIZONA, COLORADO, CONNECTICUT, MARYLAND, NORTH DAKOTA AND VERMONT, AND WHERE PROHIBITED.
Employees of Sponsor, Take Two Interactive Software, Inc., Nike Basketball, NBA Entities and Visual Concepts Entertainment, and each of their respective affiliates, subsidiaries, parents, representatives, advertising, promotion and publicity agencies, and the immediate families (parents, children, siblings, and their respective spouses, regardless of where they reside) or members of the same household (whether related or not) of each are not eligible to participate or win. All federal, state and local laws and regulations apply. Play Instructions and Tournament Structure can be found on the Website.
Sponsor will present general play instructions, any mandatory game play settings and game controller directions during the Finals introduction prior to commencement of play. Participants are responsible for understanding game controllers for the Xbox 360 gaming system.
All Finalists and winners will be selected under the auspices and in the sole discretion of the Sponsor. In the event that a participant cannot participate in competition at any level of play, for whatever reason, Sponsor, in its sole discretion, reserves the right to select a substitute participant, modify the Tournament structure as necessary or reschedule Tournament play. All participants must follow Sponsor's and administrators' directions. All decisions and rulings of Sponsor and administrators are final and binding. Sponsor and administrators reserve the right to disqualify any participant from participation in competition at any level, any time and for any or no reason.
9. Prizes
Finalist Prize: Two (2) Finalists will receive a trip for themselves and one (1) guest to attend the Finals in Dallas, TX, scheduled to take place on Saturday, February 13, 2010, along with Nike clothing and footwear. The Approximate Retail Value ("ARV") of the Finalist Prize is $2000 per prize. Actual value of prize may vary depending on Finalists' residences and seasonal rates.
Trip Package includes: A three (3) day /two (2) night trip for Finalist + guest (total of two (2) Finalists and two (2) guests) to Dallas, Texas, for the Finals (guest must be of legal age of majority in his/her jurisdiction of residence, at least 18, and must execute and return a liability/publicity release.) If guest is under 18, Finalist must be guest's parent or legal guardian and such Finalist must execute and return such documents on behalf of such guest). Roundtrip coach air transportation from the major U.S. airport closest to the Finalists' homes to Dallas, two (2) nights standard hotel accommodations in Dallas, Teaxas, or nearby vicinity for three (3) days and two (2) nights (one room (1), standard double occupancy) at hotel selected by Sponsor and $75 per diem per person (both Finalists and guests), which may be used toward the purchase of meals and transportation. All costs and expenses associated with prize acceptance and use not specified herein as being provided including, without limitation, telephone calls, facsimile charges, Internet charges, spa/beauty salon services, laundry, tours/excursions, gift shop purchases, hotel processing fees, luggage fees, additional transportation, additional meals, and airline service charges are the sole responsibility of the Finalists. Hotel and airfare cannot be used independently. Finalists must notify Sponsor of intended date of departure for Dallas (February 12, 2010) by no later than ten (10) days prior to the intended date of departure. If Finalist Winner is unable to arrive in Dallas by February 12, 2010, Finalist Prize will be forfeited in its entirety. Finalist and guest must travel together on the same itinerary. Certain travel restrictions may apply. If any activity relating to the Finalist Prize (including the Finals) is cancelled or postponed for any reason, no compensation or substitution will be provided in lieu thereof; however, the remaining items comprising the Finalist Prize will be awarded and will constitute full and complete satisfaction of the Finalist Prize. If the Finals are postponed and rescheduled, trip will be rescheduled for the new dates of the Finals. Trip must be taken on dates specified by Sponsor or Finalist Prize will be forfeited and Sponsor will have no further obligation to such Finalist. Each Finalist and his/her respective guest agree to comply with all venue rules and regulations. Failure to do so may result in disqualification.
Grand Prize (1): The Grand Prize Winner of the Final Match in Dallas will be awarded $10,000 and shall have the opportunity to design one of the colorways for a Kobe Bryant shoe during the 2010 or 2011 season to be worn by Kobe Bryant in an NBA game. The virtual version of design will appear in 2K Sports' NBA 2K11 video game. Total ARV of Grand Prize: $10,000.
Participants who reach the 'Sweet 16' in either of the two (2) Online Playoff brackets shall receive one pair of Kobe V sneakers, ARV $130.
Participantes who reach the 'Elite 8' in either of the two (2) Online Playoff brackets shall receive one pair of NikeiD Kobe V sneakers (ARV $150).
Participants who reach the 'Final Four' in either of the two (2) Online Playoff brackets shall receive a collection of Nike apparel and footwear (ARV $280).
General Prize Conditions: Total ARV of all prizes combined: $15000. Prizes are awarded "as is" with no warranty or guarantee, either express or implied by Sponsor.
Prizes are not transferable. No substitution of any prize for cash or other goods and services is permitted, except Sponsor reserves the right to substitute a (or portion thereof) prize with one of comparable or greater value, at its sole discretion. All costs and expenses associated with prize acceptance and use not specified herein as being provided, including, without limitation, all federal, state, and local taxes, are the sole responsibility of each Finalist and/or winner. Finalists and winner will receive an IRS Form 1099 reflecting the actual value of the prize. Finalists may be required to supply a Social Security or taxpayer ID number prior to the award of any prize. Limit one (1) prize per household.
Finalist and Winner Notification: Potential Finalists will be notified on or about Monday, February 1, 2010, by telephone, mail or email and will be required to sign and return an Affidavit of Eligibility and, except where prohibited, Liability/Publicity Release within five (5) days of date of notice. If a Potential Finalist does not respond as directed within five (5) days of date of notice, if prize notification is returned as undeliverable, if a Potential Finalist refuses the Finalist Prize or is ineligible to accept the Finalist Prize, or in the event of noncompliance with these Official Rules, Sponsor will select a runner-up to receive the Finalist Prize. Runners-up are selected in the order in which they finished the tournament, or in case of a tie, the order in which they qualified. Finalists may be required to provide a U.S. shipping address to claim prize. Finalist Prize information outlining trip restrictions and booking procedures will be sent via overnight mail. Winner will be notified at the Finals and may be required to execute and return additional documents, as determined by Sponsor. Failure to comply with these Official Rules or the return of the prize as undeliverable will result in forfeiture of the Grand Prize.
10. Responsibility
Released Parties are not responsible for the performance or reliability of the Game Console Machine (Xbox 360), its respective controls, the online gaming service (Xbox Live) provided by the game console manufacturers or the connection provided by a participant's internet service provider ("ISP"). Please verify that all these devices and services are working properly prior to registering for the Tournament or reporting for a scheduled Tournament match.
11. General Conditions
Released Parties are not in any way responsible or liable for and shall be held harmless against any liability for any injuries, losses or damages of any kind to persons, including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize (including any travel/activity related thereto) or participation in this Tournament, any Tournament-related activity, or for any typographical, printing, mechanical, network, human or other error or problem in the printing, shipping, offering of this Tournament, the announcement of the prizes in the Tournament, the processing of game plays, the tabulation and processing of scores, the cancellation and/or postponement of any match, including the Finals, or in any other Tournament-related materials. By entering and/or accepting a Prize, each participant, Finalist, Winner and guest assumes sole liability for and agrees to release and hold harmless Released Parties from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in Tournament, or possession, acceptance and/or use or misuse of prize or participation in any Tournament-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. Sponsor reserves the right to cancel, terminate or modify this Tournament if it cannot be completed as planned due to computer virus, bugs, tampering, unauthorized intervention, technical failures, or other conditions that corrupt or impair the administration, security, fairness or proper play of the Tournament (or any portion thereof). Released Parties are not responsible for any failure to contact participants, whether due to technical or human error. By entering this Tournament, each participant consents to the posting and use of his or her name, city and state of residence, likeness and/or photograph by Sponsor, NBA Entities and their designees on the Website, Sponsor's and NBA Entities' websites and in any and all media now or hereafter known, worldwide in perpetuity, for publicity, advertising or any other purpose without any further attribution, additional notification, permission or compensation except where prohibited by law.
In case of dispute as to the identity of any entrant, entry will be declared made by the authorized account holder of the email address submitted at time of registration and he/she must comply with these Official Rules. "Authorized Account Holder" is defined as the natural person who is assigned an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational, institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address. Released Parties are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, cable, satellite, website, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of game play information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one's ability to enter or participate in the Tournament, or any injury or damage to participant's or any other person's entertainment system or computer relating to or resulting from participating in this Tournament.
12. Use of Data
By participating in the Tournament, participants hereby agree to Sponsor's and Nike Basketball's collection and usage of their personal information and acknowledge that they have read and accepted Sponsor's and Nike Basketball's privacy policies, located at www.take2games.com/pp.php and www.nike.com/renov/nikestore/us/v1/us/en/info/privacy.jsp?item=privacy.
13. Winner's Name
On or around March 1, 2010, the winner's name will be available at www.2ksports.com/allstarchallenge. The winner's name will be available until June 1, 2010.
